ABOUT OUR SERVICES

• Minimum Age. You must be at least thirteen (13) years old to use our Services. Please note that the minimum age to use the Services without parental or legal guardian consent may be higher in certain jurisdictions, depending on applicable local laws.
• Account Registration. To create an account, you are required to register for our Services using a valid mobile phone number belonging to you. By registering, you consent to receive SMS messages and phone calls, whether from GLOBALCELL.chat or its authorized third-party providers, for the purpose of delivering verification codes necessary to activate your account.
• Privacy of user data. GLOBALCELL.chat does not sell, rent, or monetize your personal data or the content you share through our Services. We are committed to protecting your privacy and ensuring the security of your communications.
• For more detailed information about how we handle your data, please refer to our Privacy Policy. By using our Services, you acknowledge and agree to the data practices described therein, including the processing and transfer of encrypted information and associated metadata to countries where we or our trusted service providers and partners operate, for example, those used to deliver verification codes or process user support inquiries.
• Software. In order to enable new features and enhanced functionality, you consent to downloading and installing updates to our Services.
• Fees and Taxes. You are responsible for data and mobile carrier fees and taxes associated with the devices on which you use our Services.

TERMS OF USE

• Our Terms and Policies. By downloading our application and/or using our Services, you agree to use the Services in full compliance with these Terms and all other applicable policies and guidelines published by GLOBALCELL.chat. If your account is suspended or terminated as a result of a violation of these Terms or our policies, you are strictly prohibited from creating a new account without the prior express written consent of GLOBALCELL.chat.
• Legal and Acceptable Use. You agree to use GLOBALCELL.chat and the Services solely for lawful, authorized, and appropriate purposes. You shall not, and shall not assist or permit others to, use the Services in any manner that:
  • (a) violates or infringes upon the rights of GLOBALCELL.chat, its users, or any third party, including but not limited to rights of privacy, publicity, intellectual property, or other proprietary rights;
  • (b) involves the transmission of unlawful, unauthorized, or otherwise prohibited communications, including but not limited to bulk messaging, unsolicited automated messages, spam, or auto-dialing activities.
• Harm to GLOBALCELL.chat. You agree not to, and shall not permit or assist others to, access, use, reproduce, modify, distribute, transfer, or otherwise exploit GLOBALCELL.chat or its Services in any unauthorized manner, or in any way that may cause harm to GLOBALCELL.chat, its Services, or its systems. Without limitation, you shall not:
  • (a) attempt to gain or gain unauthorized access to any part of our Services or systems;
  • (b) interfere with, disrupt, or compromise the integrity, security, or performance of our Services;
  • (c) create accounts for our Services through unauthorized, fraudulent, or automated means;
  • (d) collect or harvest information, including personal data, relating to other users in an unauthorized manner;
  • (e) sell, rent, sublicense, or otherwise commercially exploit our Services without prior written authorization.
• Keeping Your Account Secure. GLOBALCELL.chat is built with a privacy-first approach and is designed in such a way that it does not permit access to your messages. You are solely responsible for maintaining the security of your device and your GLOBALCELL.chat account. In the event your device is lost or compromised, please refer to the instructions available on our Support site to re-register for the Services. Upon successful registration on a new device, your previous device will automatically cease to receive messages and calls.
• No Access to Emergency Services. Our Services do not provide access to emergency service providers like the police, fire department, hospitals, or other public safety organizations. Make sure you can contact emergency service providers through a mobile, fixed-line telephone, or other service.
• Third-party services. Our Services may allow you to access, use, or interact with third-party websites, apps, content, and other products and services. When you use third-party services, their terms and privacy policies govern your use of those services.

YOUR RIGHTS AND LICENSE WITH GLOBALCELL.CHAT

• Your Rights. You retain ownership of the information you submit or transmit through our Services. By using our Services, you represent and warrant that you have the legal right to use the phone number you provide when registering for your account.
• GLOBALCELL.chat's Rights. GLOBALCELL.chat and its affiliates retain all right, title, and interest in and to all intellectual property associated with the Services, including but not limited to copyrights, trademarks, service marks, domain names, logos, trade dress, trade secrets, patents, and all other proprietary rights. You may not use, reproduce, or otherwise exploit any of these intellectual property rights without our prior express written consent.

• GLOBALCELL.chat's License to You. Subject to your compliance with these Terms, GLOBALCELL.chat grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for your personal, non-commercial use and in accordance with these Terms.

DISCLAIMERS AND LIMITATIONS

• Disclaimers.you acknowledge and agree that your use of the services is at your sole risk and that the services are provided on an "as is" and "as available" basis. globalcell chat expressly disclaims, to the maximum extent permitted by applicable law, all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and the absence of viruses or other harmful code. we make no representations or warranties regarding the accuracy, completeness, or usefulness of any information provided through the services. we do not guarantee that the services will be uninterrupted, secure, error-free, or free from defects or delays. globalcell chat does not control, and is not responsible for, the timing, manner, or circumstances in which users access or use the services. we disclaim all liability for the acts, omissions, and content (including information or materials) posted, transmitted, or otherwise made available by users or other third parties. to the maximum extent permitted by applicable law, you hereby release globalcell chat and its affiliates, directors, officers, employees, agents, and partners (collectively, "globalcell chat parties") from any and all claims, complaints, causes of action, controversies, or disputes (collectively, "claims") and damages, whether known or unknown, arising out of or in any way related to your interactions with, or the conduct of, third parties in connection with your use of the services.
• Limitation of Liability. to the maximum extent permitted by applicable law, in no event shall globalcell chat or its affiliates, directors, officers, employees, agents, or partners (collectively, the "globalcell chat parties") be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of profits, loss of data, or other intangible losses, arising out of or in connection with your access to or use of our services, these terms, or any interaction with us, even if the globalcell chat parties have been advised of the possibility of such damages.
  to the fullest extent permitted by applicable law, the total aggregate liability of the globalcell chat parties for all claims arising out of or relating to the services, these terms, or any interaction with us, whether in contract, tort, or otherwise, shall not exceed one hundred u.s. dollars (usd $100).
  some jurisdictions do not allow the exclusion or limitation of certain damages. accordingly, some or all of the above exclusions and limitations may not apply to you. in such cases, the liability of the globalcell chat parties shall be limited to the maximum extent permitted by applicable law.

AVAILABILITY OF OUR SERVICES

You acknowledge and agree that our Services may be interrupted or unavailable from time to time due to scheduled maintenance, upgrades, system updates, network failures, hardware malfunctions, or other technical reasons beyond our control. GLOBALCELL.chat reserves the right, at any time and without notice, to modify, suspend, or discontinue some or all of the Services, including specific features, functionalities, or support for certain devices or platforms. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Resolving Disputes and Ending Terms

• Resolving disputes. You agree that any claim, dispute, or controversy arising out of or relating to these Terms, your relationship with GLOBALCELL.chat, or your use of the Services (collectively, "Disputes") shall be resolved exclusively in the Eastern European Court of Arbitration (I/N: 404611791). You further agree to submit to the personal and exclusive jurisdiction of this Court for the purpose of litigating any such Dispute. These Terms, and any Dispute arising between you and GLOBALCELL.chat, shall be governed by and construed in accordance with the laws of the Republic of Georgia, without regard to its conflict of law principles.
• Ending these Terms. You may terminate your agreement with GLOBALCELL.chat at any time by permanently deleting the GLOBALCELL.chat application from your device and ceasing all use of the Services or alternatively by clicking the Delete Account button in our app. GLOBALCELL.chat may, at its sole discretion and at any time, modify, suspend, or terminate your access to or use of the Services for any reason, including but not limited to your violation of the letter or spirit of these Terms, or if your conduct creates harm, risk, or potential legal exposure for GLOBALCELL.chat.
  The following provisions shall survive the termination of your relationship with GLOBALCELL.chat: "Licenses," "Disclaimers," "Limitation of Liability," "Resolving Disputes," "Availability of Services," "Ending These Terms," and "General."

General

• Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Governing Law. These Terms are governed by and construed in accordance with the laws of the Republic of Georgia, without regard to its conflict of law principles.
• Changes to these Terms. GLOBALCELL.chat reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
